Company Products: Kuto’s Many Lives may offer non-fungible tokens (“Kuto NFTs”), digital assets (“Digital Assets”), and physical products (“Physical Products”) for sale through the Platform. Additional terms and conditions may apply to specific Company Products. By participating in the purchase or receipt of Company Products, you agree to comply with these specific terms in addition to these Terms.

Third-Party Payments: Payments made for Company Products processed through third-party partners are subject to the separate terms and conditions associated with those partners. We have no control over these payments or transactions and cannot reverse them once completed.

Auctions: Occasionally, we may sell Company Products through auction processes (“Auctions”). Each Auction will have its own rules and regulations, which you must abide by. In the event of winning an Auction, you may redeem the corresponding Company Product at your convenience within reason.

Ownership and Intellectual Property: The Platform, including its source code, databases, functionality, software, designs, content, and trademarks (collectively, the “Content”) are owned or controlled by Kuto’s Many Lives. The Content is protected by copyright, trademark, and other intellectual property laws. Except as expressly provided in these Terms or under an applicable license, no part of the Platform, Content, or trademarks may be copied, reproduced, distributed, sold, licensed, or exploited without our prior written permission.

Secondary Transactions: Digital Assets purchased from our Platform may be bought, sold, and traded on third-party marketplaces or exchange sites. These secondary transactions are subject to the terms and conditions of those sites. We are not a party to any secondary transactions and have no liability for any claims or damages arising from your use of external sites.

Taxes and Compliance: You are solely responsible for any applicable taxes associated with the purchase or receipt of Digital Assets. This includes income, capital gains, sales, use, value-added, and other taxes imposed by governmental authorities. We have no liability for any claims or damages arising from your tax obligations.

Ownership of NFTs: Each NFT associated with Kuto’s Many Lives represents a unique digital asset on the Ethereum blockchain. When you purchase an NFT, you become the sole owner of the underlying digital asset, entirely mediated by the Smart Contract and the Ethereum Network. At no point shall we have the ability to seize, freeze, or modify the ownership of any NFT within Kuto’s Many Lives.

Personal Use: Provided that you comply with these Terms, Kuto’s Many Lives grants you a worldwide, royalty-free license to use, copy, and display the purchased digital assets, including any associated extensions, solely for the following purposes:

(i) Personal, Non-Commercial Use: You may use the digital assets for your personal, non-commercial use.

(ii) Marketplace Participation: You may use the digital assets as part of a marketplace that enables the purchase and sale of your NFTs, ensuring that the marketplace cryptographically verifies each NFT owner’s rights to display the associated digital assets. This ensures that only the actual owner can display the digital assets.

(iii) Third-Party Inclusion: You may use the digital assets as part of a third-party website or application that allows the inclusion, involvement, or participation of your NFTs. Similar to the marketplace, the third-party website or application must cryptographically verify each NFT owner’s rights to display the associated digital assets, and the digital assets should no longer be visible once the owner of the NFT leaves the website or application.

Commercial Use: Subject to your continued compliance with these Terms, Kuto’s Many Lives grants you an unlimited, worldwide license to use, copy, and display the purchased digital assets for the purpose of creating derivative works based upon the digital assets (“Commercial Use”). Commercial Use may include, but is not limited to, producing and selling merchandise products that display copies of the digital assets, such as T-shirts and other merchandise.

This license allows you to engage in Commercial Use without restriction. Furthermore, this section shall not limit your rights to own or operate a marketplace that permits the use and sale of NFTs within Kuto’s Many Lives, provided that the marketplace cryptographically verifies each NFT owner’s rights to display the associated digital assets. Similarly, you may own or operate a third-party website or application that involves or includes NFTs, provided that the website or application cryptographically verifies each NFT owner’s rights to display the associated digital assets and ensures that the digital assets are no longer visible once the owner of the purchased NFT leaves the website or application. You are also entitled to earn revenue from any of the foregoing activities.

Communication for Commercial or non-commercial Use: If you are utilizing your Kuto NFT for any form of commercial or non-commercial use, such as creating merchandise or other ventures, we kindly request that you communicate this information to the Kuto’s Many Lives team. This enables us to promote and support your projects to our wider audience, fostering collaboration and growth within and outside the community.

Release and Terms: Occasionally, we may offer Physical Products for sale or no consideration. The terms and conditions for such releases are solely at the discretion of Kuto’s Many Lives. Please review the specific terms and conditions applicable to each release. We make no representations or warranties regarding the Physical Products, except as stated in our discretion.

Personal Data: Kuto’s Many Lives may collect personal data from you, including identification information and cryptocurrency wallet details. We may share personal information with third-party service providers for operational purposes and compliance with applicable laws and regulations. We strive to protect your personal information but cannot guarantee the security of data transmission. By using the Platform, you accept these risks.

Use at Your Own Risk: The Platform is provided on an “AS IS” and “AS AVAILABLE” basis, and we make no warranties or representations regarding its functionality, availability, or accuracy. Your use of the Platform is at your sole risk.

Disclaimer of Warranty: We disclaim all warranties, express or implied, including but not limited to satisfactory quality, fitness for a particular purpose, non-infringement, and compatibility. We do not guarantee uninterrupted or error-free functionality of the Platform.

Limitation of Liability: We shall not be liable for any indirect, consequential, incidental, or punitive damages, including lost profits, arising from your use of the Platform or Company Products. Our maximum liability, if applicable, is limited to the amount paid for the specific product or service.

You agree to indemnify and hold Kuto’s Many Lives, its affiliates, and representatives harmless from any third-party claims, damages, and costs arising from your use of the Platform, violation of these Terms, or infringement of third-party rights. You also agree to promptly notify Kuto’s Many Lives of any third-party claims and cooperate in their defense.

These Terms are governed by Italian laws and regulations. Any disputes arising from or related to the Platform shall be resolved in accordance with the laws of Italy, without regard to conflict of law provisions. Additionally, you and Kuto’s Many Lives agree to waive the right to a jury trial and participate in class actions.

These Terms constitute the entire agreement between you and Kuto’s Many Lives. No oral modifications or representations outside of these Terms are valid. The relationship between the parties is not a joint venture, partnership, or agency. If any provision of these Terms is deemed invalid, the remaining provisions shall remain in full force and effect.
